These Terms of Use (“Terms”) are a legal agreement between you and Good Will Instrument Co., Ltd., operating under the GW Instek brand (“GW Instek”, “we”, “us” or “our”), and govern your access to and use of the Website. Please read these Terms carefully. By accessing or using the Website, including browsing, searching, downloading, registering an account, submitting an enquiry or otherwise interacting with the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website. The Website is intended for business and professional users. The purchase, warranty, service and support of GW Instek products are governed by separate written agreements. Where a separate agreement conflicts with these Terms in relation to a product or service, the separate agreement prevails for that product or service. |

You confirm that you have the right to provide that information and that it is accurate and not unlawful. If you send us suggestions, feedback or ideas concerning our products, services or the Website, you grant GW Instek a non-exclusive, worldwide, royalty-free, perpetual and irrevocable right to use them for any purpose, without restriction, acknowledgement or compensation. 8. Product information, specifications and availability |

Website content is published for general information. It is not an offer to sell, a quotation, or a binding commitment. Product specifications, features, options, accessories, software and documentation are subject to change without notice, and products may be improved, modified or discontinued at any time. Products, models, options, services and support offerings vary by country and are not available in all markets. Local availability, regulatory approvals, safety marking, supply voltage, connector configuration and language variants should be confirmed with GW Instek or an authorised distributor before you rely on them. Measurement specifications and performance data apply only under the stated test conditions and the stated calibration, warm-up, environmental and accessory requirements. You are responsible for determining whether a product is suitable for your intended application, and for the installation, configuration, calibration and safe operation of that product. Where Website content differs from the product manual, datasheet or a separate written agreement, the manual, datasheet or separate agreement prevails for that product. |
9. Software, firmware and downloads |

Software, firmware, drivers, utilities and documentation made available on the Website are licensed, not sold. Each download is subject to its own licence terms where such terms are supplied. Where no separate licence is supplied, GW Instek grants you a limited, non-exclusive, non-transferable licence to install and use the item solely with the GW Instek product for which it is intended, and solely for your internal purposes. You may not sell, rent, sublicense, modify, translate, reverse engineer, decompile or disassemble any software or firmware, except to the extent that applicable law expressly permits notwithstanding this restriction. Software or firmware may include open-source components, which are governed by their own licences. Those licences prevail over this section to the extent of any conflict. Applying firmware or software to a product may affect calibration, measurement performance, warranty status or regulatory compliance. Read the accompanying release notes and instructions before installing, and do not interrupt an installation in progress. Downloads are provided without warranty, as described in section 13. |
10. Export control and sanctions |

GW Instek products, software, firmware and technical information may be subject to export control and sanctions laws, including those of the Republic of China (Taiwan) and, where applicable, those of other jurisdictions. You agree to comply with all applicable export control, re-export, import and sanctions laws, and not to download, export, re-export, transfer or otherwise make available any content, software, firmware or technical information obtained from the Website to any destination, entity or person prohibited under those laws, or for any prohibited end use. You confirm that you are not located in, under the control of, or a national or resident of, any country or territory subject to applicable comprehensive sanctions, and that you are not a party identified on an applicable restricted-party list. Content on the Website is not intended for use in any application in which failure could lead to death, personal injury or severe environmental damage, unless GW Instek has confirmed suitability for that application in writing. |

To the maximum extent permitted by applicable law, GW Instek and its affiliates, officers, employees, suppliers, distributors and other third parties identified on the Website will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, contract, goodwill, data or anticipated saving, arising out of or in connection with:
whether the claim is based on warranty, contract, tort, statute or any other legal theory, and whether or not GW Instek has been advised of the possibility of such damages. If your use of material or information obtained from the Website results in a need for servicing, repair, re-calibration or correction of equipment or data, you assume all costs. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, our liability is limited to the extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded. |

17. Governing law and dispute resolution |

These Terms, and any dispute or claim arising out of or in connection with them or with your use of the Website, are governed by the laws of the Republic of China (Taiwan), without regard to conflict of law rules. To the extent permitted by applicable law, you and GW Instek agree to submit to the jurisdiction of the Taiwan New Taipei District Court as the court of first instance. If you use the Website as a consumer, mandatory consumer-protection rules of the country in which you live may give you additional rights and may entitle you to bring proceedings in your local courts. Nothing in this section removes those rights. |
18. General |

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions remain in full force. No waiver. Our failure to enforce any provision is not a waiver of that provision. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate, or in connection with a merger, acquisition or transfer of business assets. Entire agreement. These Terms, together with the Privacy, Security and Cookies Policy and any notice published on the Website, form the entire agreement between you and GW Instek in relation to the Website. No third-party rights. These Terms do not create rights for any person other than you and GW Instek. Language. These Terms are published in several languages. The Traditional Chinese version is the governing version. Other language versions are provided for convenience; in the event of inconsistency, the Traditional Chinese version prevails, except where applicable local law requires otherwise. |
